Results & Investment Disclaimer

1. Scope

This Results & Investment Disclaimer applies to www.ownthewash.com and all related landing pages, advertisements, videos, presentations, forms, advisor calls, emails, text messages, telephone calls, social media, educational resources, introductions, case studies, testimonials, and other content or communications provided under the Own the Wash name, collectively, the "Materials."

This Disclaimer should be read together with the Own the Wash Terms of Service and Privacy Policy.

2. General Information Only

Own the Wash provides general educational information, car wash ownership guidance, strategic resources, and introductions. The Materials are intended to help qualified individuals understand the car wash industry and identify issues they should evaluate with their own professional advisers. The Materials are not a substitute for independent due diligence, professional advice, a formal feasibility study, or a binding agreement with a qualified provider.

3. No Investment Advice or Securities Offering

Own the Wash is not a registered investment adviser, broker-dealer, securities broker, financial planner, fiduciary, investment company, investment club, fund, capital-placement service, or securities platform.

Nothing in the Materials is investment advice, a recommendation to buy or sell a security, an offer of securities, or a solicitation to invest in a pooled vehicle, fund, company, partnership, or managed investment.

References to "investors," "investment," "returns," "capital," "ownership," "income," or similar terms refer generally to a person's possible decision to establish, acquire, finance, own, or operate a car wash business or related real estate. They do not convert the Materials into securities or regulated investment advice.

4. No Revenue, Profit, or Results Guarantees

Own the Wash does not guarantee, promise, represent, or warrant any level of:

  • Revenue, membership revenue, sales, customer traffic, market share, profit, operating margin, cash flow, or distributions.
  • Return on investment, payback period, break-even date, refinancing, resale value, property appreciation, enterprise value, or exit value.
  • Labor savings, staffing levels, unattended operation, operating uptime, customer retention, membership conversion, or recurring income.
  • Financing approval, loan amount, interest rate, down payment, SBA eligibility, or lending terms.
  • Site approval, permit approval, zoning, entitlement, utility availability, construction schedule, opening date, or project cost.
  • Equipment performance, service response, chemistry performance, maintenance cost, or operating life.

You may achieve more, less, or none of the results discussed in the Materials. You may lose some or all capital invested and may incur debt, personal-guarantee obligations, operating losses, cost overruns, delays, and additional liabilities.

5. Individual Results Vary

Car wash results vary materially. Factors include, among others:

  • Market size, income, population, weather, seasonality, competition, traffic, access, visibility, demographics, and customer behavior.
  • Site cost, rent, title, easements, utilities, drainage, environmental conditions, zoning, permitting, signage, stacking, and physical layout.
  • Financing structure, interest rates, guarantees, collateral, debt service, liquidity, reserves, and cost of capital.
  • Equipment selection, installation, warranties, maintenance, chemistry, water quality, utilities, downtime, and service availability.
  • Construction pricing, contractor performance, design, engineering, labor, supply chains, change orders, inspections, and unforeseen conditions.
  • Pricing, memberships, marketing, customer service, security, payment processing, repairs, taxes, insurance, and management execution.
  • Your experience, judgment, effort, leadership, risk tolerance, financial condition, professional team, and ability to respond to changing conditions.

Many of these factors are outside Own the Wash's control.

6. Capital Is at Risk

Building, acquiring, financing, or operating a car wash is a significant business and real estate undertaking. It may require substantial capital and may involve loans, liens, leases, construction obligations, equipment purchases, personal guarantees, and ongoing operating expenses.

There is no assurance that you will recover your investment or generate positive cash flow. You should invest or commit only capital you can afford to place at risk and only after considering downside scenarios with independent legal, tax, accounting, lending, real estate, engineering, construction, and financial professionals.

7. Estimates, Projections, and Forward-Looking Statements

The Materials may include estimated costs, ranges, budgets, timelines, operating assumptions, revenue scenarios, membership assumptions, examples, forecasts, or projections.

These statements are illustrative, forward-looking, and inherently uncertain. They may be based on assumptions that do not apply to your market or project. Actual results may differ materially because of changes in pricing, interest rates, labor, equipment, construction, regulation, demand, competition, weather, utilities, maintenance, and other conditions.

An estimate or scenario is not a bid, quote, appraisal, underwriting decision, feasibility conclusion, promise, or guarantee. Obtain current, written, project-specific information from the appropriate provider before making a commitment.

8. Site, Market, and Real Estate Risk

General comments about a market or site do not establish that a site is suitable, feasible, buildable, financeable, legally compliant, commercially viable, or capable of producing any result.

Own the Wash does not guarantee title, access, traffic counts, demographics, environmental condition, soil condition, utility capacity, drainage, zoning, entitlements, permits, visibility, signage, stacking, ingress, egress, competition, or projected customer volume.

Do not purchase or lease property or waive a contingency based only on the Materials or an advisor conversation. Use qualified real estate, legal, environmental, engineering, surveying, traffic, title, and land-use professionals.

9. Financing and SBA Discussions

Own the Wash is not a lender, loan broker, underwriter, SBA representative, or financing guarantor. General financing discussions and lender introductions do not constitute credit approval or a commitment to lend.

Financing depends on lender criteria, borrower qualifications, project economics, collateral, guarantees, documentation, appraisal, underwriting, government requirements, and market conditions. A lender may change terms, request additional collateral, delay a decision, or deny financing.

You are responsible for reviewing all loan documents, fees, interest rates, covenants, collateral requirements, default provisions, and personal guarantees with qualified advisers.

10. Construction, Equipment, and Operational Risk

Own the Wash does not guarantee the price, quality, availability, installation, completion, performance, or suitability of construction, equipment, service, maintenance, chemistry, software, or other products and services.

Construction and operations can be affected by design changes, engineering requirements, material prices, labor shortages, weather, permits, inspections, utility work, site conditions, vendor delays, equipment downtime, supply interruptions, water quality, maintenance needs, theft, vandalism, accidents, and other risks.

Statements that a model is lower-cost, lower-labor, minimal-labor, unattended, predictable, recurring, durable, or simpler are comparative descriptions of an intended model, not guarantees of actual cost, staffing, uptime, revenue, or profitability.

"Unattended" or "minimal labor" does not mean zero involvement, zero oversight, zero maintenance, or passive income. Every location requires appropriate management, security, compliance, service, maintenance, financial control, and customer support.

11. Introductions and Third Parties

Own the Wash may introduce users to AUTEC Car Wash Systems, lenders, contractors, engineers, consultants, real estate professionals, service providers, affiliated companies, and other third parties.

Own the Wash does not guarantee that a third party is appropriate for you or that it will offer particular terms, accept your project, perform on time, comply with law, or produce a result. You are responsible for verifying licensing, insurance, qualifications, references, pricing, warranties, contracts, and performance history.

Any transaction with a third party is governed by your separate agreement with that party.

12. Commercial and Affiliated Relationships

Own the Wash, its owners, affiliates, or associated companies may have ownership, referral, financial, commercial, strategic, or other relationships with AUTEC or other providers discussed or introduced in the Materials. They may benefit directly or indirectly from a transaction involving an introduced or affiliated provider.

References to AUTEC equipment, affiliated operating locations, solution partners, or other providers should not be interpreted as an independent, comprehensive comparison of every option available in the market.

13. Testimonials, Case Studies, and Operating Examples

Testimonials, case studies, photographs, videos, operating locations, construction projects, revenue examples, membership examples, customer counts, labor descriptions, cost examples, and other success stories are illustrative only.

They represent particular businesses, locations, owners, time periods, or circumstances. They may reflect strong or exceptional performance and should not be considered typical, expected, promised, or guaranteed.

Results may be affected by facts not included in a short testimonial or marketing example. Testimonials may be edited for length, grammar, clarity, or formatting without intentionally changing their substance.

Any statement concerning the number of operating locations, locations under construction, cars washed, historical performance, or similar business facts speaks only as of the date stated or originally published and may later change.

14. No Guarantee of Ownership Structure or Fee Treatment

Statements that an owner may own 100 percent of a business, real estate, or equipment describe an intended independent-ownership structure and are subject to the owner's entity documents, financing, liens, leases, title, contracts, and applicable law.

Statements that Own the Wash does not charge consulting fees, franchise fees, or royalties do not mean a project has no fees or costs. Lenders, government agencies, professionals, equipment providers, contractors, software providers, service companies, payment processors, insurers, utilities, and other parties may charge substantial fees and costs under separate agreements.

15. Independent Due Diligence Required

Before committing capital or signing an agreement, you should independently:

  • Validate market demand and site feasibility.
  • Review title, zoning, environmental, utility, access, drainage, and permitting matters.
  • Obtain project-specific construction, equipment, service, chemistry, insurance, and operating proposals.
  • Stress-test revenue, expense, debt-service, delay, and downside scenarios.
  • Review all agreements, guarantees, warranties, and disclosures.
  • Consult qualified legal, tax, accounting, financial, lending, real estate, engineering, environmental, construction, and insurance professionals.

You are solely responsible for deciding whether a car wash project is appropriate for you.

16. No Reliance

By accessing or using the Materials, submitting a form, or participating in an advisor conversation, you acknowledge that you are not relying on a promise or guarantee of financing, revenue, profit, customer traffic, recurring income, labor savings, project cost, opening date, return on investment, property value, or any other result.

You understand that all business, real estate, construction, financing, and ownership decisions involve risk and uncertainty.

17. Limitation

To the maximum extent permitted by law, Own the Wash and its owners, representatives, affiliates, associated companies, employees, contractors, and agents, including Vic Keller, are not personally or collectively responsible for a user's investment, financing, purchase, construction, ownership, operating decision, or result, except to the extent liability cannot lawfully be limited or a separate signed agreement expressly provides otherwise.

The disclaimers and limitations in the Terms of Service are incorporated into this Disclaimer.

18. Updates

Own the Wash may update this Disclaimer from time to time. The version posted on the website with the most recent effective date will govern future use of the Materials.
